Trofi AI provides technology-assisted research, workflow support and analytical tools for qualified financial-services professionals. Its content is intended solely for general informational and internal business purposes.

Not investment, legal or financial advice

Trofi AI does not provide investment, legal, tax, accounting, regulatory or other professional advice. Nothing produced by Trofi AI constitutes:

• An offer to sell or solicitation to buy any security;
• A recommendation to enter into any transaction;
• A fairness opinion, valuation opinion or credit decision;
• A securities research report;
• A confirmation that a financing or advisory mandate exists; or
• A substitute for professional judgment, independent diligence or applicable supervisory review.

AI-generated analysis and human review

Trofi AI uses automated systems, including artificial intelligence, to locate, extract, organize and analyze information. Outputs may contain errors, omissions, outdated information, unsupported inferences or incorrectly classified events.

Scores, rankings, transaction structures, opportunity labels and suggested actions reflect analytical hypotheses—not verified facts, transaction terms or confirmed mandates. All outputs must be independently reviewed and approved by an appropriately qualified professional before being relied upon, distributed or used to contact any person.

Trofi AI does not automatically perform outreach, execute transactions or make decisions on behalf of users.

Sources and data limitations

Trofi AI may use regulatory filings, issuer disclosures, market data, third-party sources and user-provided information. Although the platform seeks to preserve source links and evidence lineage:

• Information may be incomplete, delayed, inaccurate or subsequently amended;
• A source link does not confirm the accuracy of the underlying information;
• Historical balances, proceeds or transaction terms may not reflect current conditions;
• Estimated market values and transaction metrics may be approximate;
• “Not established” does not mean zero, unavailable or not applicable; and
• Non-selection does not establish that no opportunity, risk or material event exists.

Users are responsible for reviewing the underlying source materials and confirming all material facts.

No guarantee of results

Trofi AI does not guarantee the identification of every relevant filing, transaction, financing need, counterparty, risk or commercial opportunity. It also does not guarantee the accuracy of scores, forecasts, calculations, contact information, suggested transaction structures or potential economics.

Past transactions, historical results and comparable-company information do not guarantee future outcomes. Market conditions, issuer circumstances and transaction feasibility may change without notice.

Contacts and communications

Contact details and suggested communications may be derived from public information, licensed data or user-provided records. Trofi AI does not guarantee current employment, contact ownership, address deliverability or permission to contact any individual.

Before initiating communications, users must independently verify the recipient, comply with their firm’s coverage ownership, conflicts, restricted-list, privacy, marketing, recordkeeping and supervisory requirements, and obtain all required internal approvals.

Suggested communications are drafts only and must be reviewed before use.

Confidential information, conflicts and MNPI

Unless expressly confirmed within the applicable deployment, Trofi AI does not determine whether information constitutes material nonpublic information, whether an organizational conflict exists or whether a user is permitted to act on particular information.

Users remain responsible for complying with applicable confidentiality obligations, information barriers, restricted lists, engagement terms, securities laws and internal policies. Users must not enter confidential, personal or proprietary information unless authorized by their organization and permitted under the applicable Trofi AI agreement.

No banker-client or fiduciary relationship

Use of Trofi AI does not create a banker-client, broker-customer, investment-adviser, fiduciary, agency or other professional relationship between Trofi AI and any user, issuer, investor or third party.

Trofi AI does not represent that any bank, adviser, investor or issuer has authorized, endorsed or engaged Trofi AI or any transaction described by the platform.

Professional-use restriction

Trofi AI Deal Intelligence is designed for professional users capable of independently evaluating its outputs. Users are responsible for determining whether use of the platform is permitted in their jurisdiction and consistent with their organization’s policies, licenses and regulatory obligations.

Limitation and controlling terms

Use of Trofi AI is subject to the applicable customer agreement, terms of service and privacy notice. If this disclaimer conflicts with an executed customer agreement, the executed agreement controls.

To the fullest extent permitted by law, Trofi AI disclaims responsibility for decisions, communications, transactions, losses or other consequences arising from reliance on platform outputs without appropriate independent review.
